Condominium Law: Article 36. Conduct of a General Meeting

(1) A general meeting held by presence or in a mixed form is conducted on the day, at the time, and in the place indicated in the convocation notice sent to each owner. The body of the association or the owners convening the general meeting organize the registration of owners and of the votes represented.
(2) An owner may be present at a general meeting physically, by video conference, or by any other means of electronic communication with permits the person to be identified and enables bidirectional communication. The technical and organizational measures enabling owners who chose to participate in a form other than by physical presence are to be taken by the organizer of the meeting.
(3) Participation, either personally or via a representative, in a meeting is allowed to the owner included in the list of owners entitled to participate at a general meeting, as held by the association, as well as any other person who produces sufficient evidence of acquisition of ownership over the condominium unit.
(4) In case of physical participation, an owner may not vote if he or she failed to register by signing into the list of owners entitled to participate at the general meeting. The chairman of the meeting, by applying his or her own signature and making a note thereof, registers the owner who participates in the general meeting by video conference or other means of electronic communication set out in paragraph (2).
(5) A general meeting is quorate and may adopt resolutions if owners holding more than 1/2 of voting rights are present or represented.
(6) Where there is no quorum, the body or owners who convened the meeting set a date on which the general meeting is to be repeatedly convened. A repeated general meeting may be convened for not later than 48 hours and not later than 30 days as of the initial set date. For the purposes of satisfying the requirements laid down in Articles 35 paragraphs (4) and (5) in respect of a repeated general meeting, a notice of convocation of a general meeting may provide for both the date of the initial general meeting and the date of the repeated general meeting should there be no quorum at the initial general meeting.
(7) A repeated general meeting is quorate if owners holding more than 1/4 of voting rights are present or represented. It has the same agenda as the initial general meeting.
(8) A general meeting is chaired by the chairman of the Council, and if the association has no chairman of the Council – by the administrator of the association or another person elected as chairman of the meeting by the vote of the majority of the owners present or represented at the meeting. The minutes of the general meeting are prepared by the secretary of the meeting, elected by the vote of the majority of the owners present or represented at the meeting.
(9) A general meeting votes on resolutions in respect of the matters on the agenda. The general meeting may vote on resolutions on matters that are included in the agenda by way of its addition.
(10) At any time during a meeting, the general meeting may adopt resolutions that organize the conduct of the ongoing meeting, including the manner of holding speeches, change of the chairman of the meeting, open or secret voting, by raising a hand, or by a ballot.
(11) Each participant in a meeting chooses the language he or she uses to communicate in the meeting. The chairman assists the participants, insofar as possible, to overcome linguistic barriers and other communication barriers.
(12) The chairman of the meeting is entitled and is under a duty to take the following measures:
a) conduct the meeting efficiently for the purposes of presentation of information relevant for the taking of a resolution relative to the agenda, of discussing of the substance of the matter, and of saving the time dedicated by the participants to the meeting;
b) be firm with the participants that wish to speak and limit the time allotted, the frequency of speeches, and ensure that the discussion does not deviate from the matter on the agenda subject to discussion;
c) require participants to maintain a respectful conduct and tone during the meeting, and if they fail to do so, withdraw their right to speak.
(13) A participant intending to present a large amount of information at a meeting is entitled to convey it in text form using an electronic means of communication to the body that has convened the meeting, not later than 24 hours before the meeting, and the latter is bound to distribute it, using the same means, to the owners that have accepted to communicate with the association using electronic means.
(14) The regulations of the association may lay down additional rules on the conduct of participants at a meeting.
(15) Where he or she finds that he or she is unable to take the measures provided for by paragraph (13), the chairman of the meeting is entitled and bound to propose to the general meeting the adoption of a resolution to interrupt the meeting for a later time on the same day or on the immediately following day.  At the decided time the general meeting continues. If a quorum fails at the continued meeting, minutes of the already held meeting are prepared and a repeated meeting is convened to debate the outstanding matters on the agenda.

Articolul 36. Desfășurarea adunării generale

Alin. (5): Cvorumul este o cerință de seriozitate doar pentru ședințele cu prezență. Apoi cerința de vot nu e relativă la toți membrii, ci doar la cei prezenți la o ședință cu cvorum (v. art. 37(1) partea întâi). Pentru ședințele mixte sau prin corespondența nu se poate stabili cvorum, ci se stabilesc cerințe de vot relative la toți membrii (v. art. 37(1) partea a doua).

Alin. (6): Câteva legi străine exclud cerința de cvorum la adunarea generală repetată, ceea ce este o soluție riscantă.

Alin. (6) permite ca adunarea generală repetată să se țină chiar 2 zile după adunarea generală inițial convocată. În orice caz, cerința de înștiințare cu 10 zile înainte, prevăzută de art. 35 alin. (4) și (5), este aplicabilă și adunării generale repetate.

Norma specială a alin. (6) permite persoanei abilitate să convoace adunarea generală să stabilească, în înștiințarea de convocare, deodată atât data, ora, locul adunării generale inițiale, cât și a unei eventuale adunări generale repetată, anticipând lipsa cvorumului necesar la adunarea generală inițială. Din punct de vedere practic, se va face o singură înștiințare unde se vor indica ambele date. Prin urmare, dacă la adunarea generală inițială există cvorum, se vor începe deliberările. Dacă cvorum va lipsi, proprietarii deja vor ști că sunt convocați la o adunare generală repetată, care poate fi și 2 zile după adunarea generală inițială.

În lipsa acestui sistem (1 înștiințare despre 2 adunări), este imposibil de a ține o adunare generală repetată în doar 2 zile. Cerința unei noi înștiințări înseamnă confuzie și costuri în plus.

Dacă nu s-a folosit mecanismul „1 înștiințare despre 2 adunări”, atunci, pentru a beneficia de cvorumul redus de la alin. (7), persoana abilitată să convoace trebuie să emită o nouă înștiințare, de convocare a adunării generale repetate, care să se desfășoare nu mai târziu de 30 de zile de la adunarea generală inițial convocată și să o transmită proprietarilor conform art. 35 alin. (4) și (5).

Alin. (7) reduce cvorumul la adunarea generală repetată la 1/4 din toate drepturile de vot. Acest cvorum se aplică doar dacă adunarea generală repetată are loc cu acest cvorum. Dacă nici măcar acest cvorum nu este reunit, nu se poate convoca o a doua adunare generală repetată, ci trebuie să se convoace o adunare generală total nouă, la care, inițial se va aplica cvorumul de la alin. (5), iar, în lipsa acestui cvorum, se va putea ține o adunare generală repetată la care se va aplica cvorumul de la alin. (7).

Alin. (8) nu se limitează cine poate fi președinte ori secretar al ședinței adunării generale. Administratorul poate fi fie președinte, fie secretar. Decisivă este hotărârea însăși adunării generale pe baza încrederii acordate. Se exclude ca aceeași persoană să fie atât președinte, cât și secretar al ședinței.

Alin. (9) competența concretă a unei adunări generale convocate se limitează la chestiunile din ordinea de zi anunțată în înștiințare. Adunarea generală nu poate hotărî asupra altor chestiuni. Unica excepție este adunarea generală la care participă toți membrii asociației să voteze pentru completarea ordinii de zi.

Legea nu cere ca, în prealabil discutării ordinii de zi, adunarea generală să își aprobe propria ordine de zi. O asemenea practică nu este necesară și creează impresia greșită că adunarea își stabilește propria ordine de zi. Adunarea poate hotărâri să schimbe ordinea examinării chestiunilor de pe ordinea de zi (de exemplu, din cauza interesului crescând a unei chestiuni, ori dacă se așteaptă alăturarea la adunare a unor proprietari suplimentari la o oră mai târzie).

Rubrica „diverse” poate fi folosită în scopuri informative, de a face diverse anunțuri, dar nu pentru adoptarea de hotărâri obligatorii pentru toți proprietarii. Există o jurisprudență bogată în dreptul comparat care anulează hotărârile adoptate la rubrica „diverse”, fiindcă este o practică de a ascunde chestiuni importante de proprietarii care ezită să participe sau nu la adunare, dar chiar pentru cei care participă, rubrica „diverse” face imposibilă informarea prealabilă despre chestiune, pentru a fi în prezența unei decizii informate a fiecărui proprietar.

Hotărârea pe fiecare chestiune de pe ordinea de zi de votează separat. Legea nu admite votarea la pachet a mai multor hotărâri, ceea ce ar vicia limita drepturile proprietarilor care sunt pentru o hotărâre, dar împotriva altei hotărâri „incluse în pachet”.

Alin. (12): Practica denotă că la adunări există persoane care nu au cultura comunicării decizionale și țin captivă adunarea. Asta creează dezinteres pentru participanții care sunt gata să voteze și, pe termen lung, creează apatie și absenteism la adunările generale. Sunt necesare norme care pot fi invocate direct de către președintele ședinței față oricine deraiază mersul eficient al ședinței.

Dispozițiile alin.(8)-(15) se aplică oricărei adunări generale cu cvorum, indiferent că este adunarea generală inițială sau adunarea generală repetată.

Alin. (15): Time-out-ul poate fi folosit fie pentru a răci o situație conflictuală, ori pentru a continua discuția ziua următoare. Dacă la ședința continuată lipsește cvorum, va fi necesar să se convoace adunare repetată.
